Qualcomm today announced that it will acquire Flarion Technologies, a pioneer and leading developer of Orthogonal Frequency Division Multiplex Access (OFDMA) technology and the inventor of FLASH-OFDM technology for mobile broadband Internet protocol (IP) services. Flarion, with a world-class team and an expansive portfolio of OFDMA intellectual property, has worked closely with several operators worldwide in developing and demonstrating OFDMA technology and products. Qualcomm will pay approximately $600 million, net of Flarion's projected cash at closing, in Qualcomm stock and cash, including the assumption of options and warrants at fair value. Upon the satisfaction of certain milestones over the next few years, Qualcomm may also pay an additional $205 million in the form of cash and Qualcomm stock. Completion of the acquisition, which is subject to regulatory approval and other customary closing conditions, is expected later this year.

Within two years, low-end camera phones will take much of the market share now held by low-end standalone digital cameras. ABI Research principal analyst of global wireless operator research Kenneth Hyers says, "We believe that within the next two years, the quality of a mobile phone camera will be such that people won't need low-end standalone digital cameras. This will dramatically impact camera sales."

Amid growing consumer interest in PC-based music downloading and the expanding availability of mobile entertainment options, new research from global marketing research firm Ipsos-Insight shows that an increasing proportion of Americans are using their mobile phones to download ringtones and are beginning to sample other mobile entertainment content.

Motorola and Phiar Corporation announced a Joint Development Agreement for a project focusing on the creation of next generation electronic circuits which can be incorporated with tiny antennas to deliver high-speed millimeter wave receive arrays. These next generation receive arrays are expected to be low cost with the ability to be incorporated into multiple high-speed applications including Device-to-Device wireless communications and Personal Consumer Near Field Communications (NFC) as well as Medical Imaging, Automotive Radar, Homeland Security Scanning, and Defense applications.

Sprint and Nextel today announced that they intend to close their proposed merger on Friday, Aug. 12, 2005. The companies have received all required regulatory approvals for the merger.

Alamosa Holdings today announced that its wholly-owned subsidiary, AirGate PCS, has filed a complaint against Sprint Corporation, certain of its affiliates and Nextel Communications, Inc. in the Delaware Court of Chancery alleging, among other things, that following the completion of the pending merger between Sprint and Nextel, Sprint will breach the exclusivity covenants contained in the agreements governing its relationship with AirGate and that Nextel unlawfully interfered with AirGate's exclusive rights under such agreements. The complaint seeks, among other things, an order directing Sprint and its affiliates to specifically perform their contractual obligations under their agreements with AirGate, an injunction preventing Sprint and Nextel from taking any action or entering into any agreement that would violate the exclusivity covenants contained in the agreements, a declaratory judgment declaring the rights, remedies and obligations of the parties under the agreements, and damages.
